01 Acceptance of Terms

By visiting our website, registering for our services, or purchasing any product or consultation from MetaboliHealth LLC, you agree to comply with and be bound by these Terms and all applicable federal and state laws and regulations. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MetaboliHealth LLC.

If you are accessing or using our services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and your agreement to these Terms will be treated as the agreement of that entity.

Our company has been providing trusted health care nutrition resources and advisory services for over 25 years, delivered by registered dietitian nutritionists and certified health professionals.

03 Description of Services

MetaboliHealth LLC offers the following categories of services (collectively, the "Services"):

• Nutrition Advisory & Diet Planning: Personalised, evidence-based nutrition plans developed by registered dietitian nutritionists tailored to individual health goals.
• Health Coaching Programs: One-on-one and group coaching sessions focused on sustainable lifestyle transformation, weight management, and metabolic health.
• Sports Nutrition Consulting: Specialised nutrition plans for athletes and active individuals aimed at optimising performance, endurance, and recovery.
• Digital Wellness Content: Access to educational articles, guides, meal plans, and resources published on our platform for informational purposes.
• Leadership & Wellness Programs: Structured programs designed for corporate clients, community groups, and NGO partners to promote employee and community well-being.
• Consultancy for Organisations: B2B advisory services for health-focused organisations, including NGOs serving rural and underserved populations.

The specific scope, duration, and deliverables of each service will be outlined in the relevant service agreement or purchase confirmation provided at the time of engagement.

04 Eligibility

To use our Services, you must:

• Be at least 18 years of age, or the age of majority in your jurisdiction of residence;
• Have the legal capacity to enter into a binding contract;
• Provide accurate, truthful, and complete information when requested;
• Not be prohibited from receiving our services under applicable law.

Individuals under the age of 18 may access our services only with the express consent and supervision of a parent or legal guardian, who agrees to these Terms on their behalf. MetaboliHealth LLC reserves the right to refuse service to any person who does not meet these eligibility requirements.

05 Payment Terms

All prices for our services are displayed in United States Dollars (USD) unless otherwise stated. Payment is due at the time of service enrollment or as otherwise specified in your service agreement.

• Accepted Payment Methods: We accept major credit cards (Visa, Mastercard, American Express), PayPal, bank transfers, and other payment methods specified at checkout.
• Recurring Subscriptions: For subscription-based services, you authorise us to charge your payment method on a recurring basis (monthly or annually) until you cancel. Cancellation must be submitted at least 5 business days before the next billing cycle.
• Taxes: Prices displayed do not include applicable taxes. Any taxes, duties, or governmental charges imposed on the purchase shall be your sole responsibility.
• Currency: If your payment method is denominated in a currency other than USD, your bank or payment provider may apply conversion fees, for which MetaboliHealth LLC bears no responsibility.
• Late Payments: In the case of B2B or invoiced services, outstanding balances not paid within 30 days of the due date may incur a late fee of 1.5% per month on the unpaid balance.

06 Refund & Cancellation Policy

We strive for complete client satisfaction. The following policy governs refund and cancellation requests:

• Digital Products & Content Access: Due to the immediate nature of digital delivery, all sales of downloadable content, meal plans, and digital guides are final and non-refundable once access has been granted.
• Coaching & Consulting Services: Cancellations made more than 48 hours prior to a scheduled session will receive a full refund or credit toward a future session. Cancellations within 48 hours of the scheduled session are non-refundable.
• Program Packages: Refund requests for multi-session packages submitted within 7 days of purchase and prior to the first session will be honoured in full. After the first session, a pro-rata refund will be issued for unused sessions, less a 15% administrative fee.
• Subscription Services: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for the unused portion of an active billing cycle.

To request a refund or cancel a service, contact us at info@metabolihealth.com with your order details. Approved refunds are processed within 7–14 business days to your original payment method.

07 Medical & Health Disclaimer

Always seek the advice of your physician, licensed dietitian, or other qualified health provider with any questions you may have regarding a medical condition, dietary change, or health concern. Never disregard professional medical advice or delay seeking it because of content you have read on our website or received through our services.

If you are pregnant, nursing, have a medical condition, or are taking prescription medication, consult your healthcare provider before starting any nutrition or wellness program. MetaboliHealth LLC does not claim to diagnose, treat, cure, or prevent any disease or medical condition.

Our nutrition recommendations are general in nature. Individual results will vary depending on personal health circumstances, adherence to the programme, and other lifestyle factors.

08 Intellectual Property

All content published on the MetaboliHealth LLC website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the exclusive property of MetaboliHealth LLC or its content suppliers and is protected under applicable United States and international intellectual property laws.

• You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from our website without prior written consent from MetaboliHealth LLC.
• Personal, non-commercial use is permitted provided you retain all copyright and proprietary notices on any copy you make.
• Our name, logo, and service marks are trademarks of MetaboliHealth LLC and may not be used without express written permission.

Any unauthorised use of our intellectual property may subject you to civil or criminal liability under applicable law.

09 User Conduct

By using our Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable local, national, or international regulation;
• Transmit unsolicited communications, spam, or any form of marketing without prior consent;
• Attempt to gain unauthorised access to any portion of our website, accounts, or systems;

Violation of these conduct standards may result in immediate termination of your access to our Services, and we reserve the right to report violations to appropriate law enforcement authorities.

11 Limitation of Liability

To the fullest extent permitted by applicable law, MetaboliHealth LLC, its members, managers, employees, agents, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

• Loss of profits, revenue, goodwill, or data;
• Business interruption or loss of business opportunity;
• Personal injury or property damage arising from your use of our Services;
• Unauthorised access to or alteration of your transmissions or data;
• Any other matter relating to our Services.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law. In no event shall MetaboliHealth LLC's total aggregate liability to you exceed the total amount you paid to us for the Services giving rise to the claim in the twelve (12) months preceding the event.

12 Indemnification

You agree to defend, indemnify, and hold harmless MetaboliHealth LLC and its officers, members, managers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of, or inability to use, our Services;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any content you submit, post, or transmit through our Services;
• Your violation of any applicable law or regulation.

13 Governing Law & Dispute Resolution

These Terms and any disputes arising out of or related to them or our Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

Dispute Resolution: Before initiating any formal proceeding, both parties agree to attempt in good faith to resolve any dispute through informal negotiation. Written notice of the dispute must be sent to MetaboliHealth LLC at the address below. Parties shall have 30 days to reach a resolution.

Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association (AAA). Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

14 Changes to These Terms

MetaboliHealth LLC reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or by posting a notice on our website.

Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you must discontinue use of our Services.
